Introduction

1.1

The Board of Directors of Unique Engineering has adopted this Code of Ethics and Business Conduct (the 'Code') in order to:

(a)

Promote honest and ethical conduct, including the ethical handling of actual or apparent conflicts of interest;

(b)

Promote compliance with applicable governmental laws, rules and regulations;

(c)

Promote the protection of Organization assets, including corporate opportunities and confidential information;

(d)

Promote fair dealing practices;

(e)

Deter wrongdoing; and

(f)

Ensure accountability for adherence to the Code.

1.2

All directors, officers and employees are required to be familiar with the Code, comply with its provisions and report any suspected violations as described below in Section 7, Reporting and Enforcement.

This Code applies to all directors, officers, employees and contractors of Unique Engineering, regardless of location, seniority or role.

Honest and Ethical Conduct

2.1

The Organization's policy is to promote high standards of integrity by conducting its affairs honestly and ethically.

2.2

Each director, officer and employee must act with integrity and observe the highest ethical standards of business conduct in their dealings with the Organization's customers, suppliers, partners, service providers, competitors, employees and anyone else with whom they have contact in the course of performing their job.

Decisions and Conflicts

3.1

Make decisions that align with the best interests of the company and its stakeholders.

3.2

Avoid activities or commitments that could create a conflict of interest, or the appearance of one.

Clients, Suppliers & Colleagues

4.1

Foster positive, transparent and ethical relationships with colleagues, clients and suppliers.

4.2

Promote fairness and honesty in all transactions and interactions, without discrimination or favouritism.

Information & Assets

5.1

Protect the company's proprietary information, trade secrets and intellectual property.

5.2

Use non-public information only as authorized or permitted by law, and never for personal benefit.

Position & Personal Gain

6.1

Refrain from using your position for personal gain, insider trading, or any other improper advantage.

6.2

Ensure all actions and decisions reflect the highest ethical standards and stand up to public scrutiny.

Laws & Reporting

7.1

Adhere to all applicable laws, rules and regulations in your work, in every jurisdiction where we operate.

7.2

Report any unethical or illegal conduct to management promptly — retaliation against good-faith reporting is strictly prohibited.

Speak up with confidence. Unique Engineering protects every employee who raises a concern in good faith. Retaliation of any kind is a violation of this Code.

Assets & Communication

8.1

Safeguard company, client and supplier assets — using them responsibly and only for legitimate business purposes.

8.2

Encourage open communication and seek guidance whenever you encounter an ethical dilemma or uncertainty.

I confirm that I have read, understood and agree to comply with the Code of Ethics and Conduct of Unique Engineering. I understand that any violation may result in disciplinary action, up to and including termination of employment.
